Introduction
Welcome to AstraVA, a service provided by WilGlobo Inc. ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the AstraVA platform, website, and services.
By accessing or using our services, you agree to be bound by these Terms. If you disagree with any part of the Terms, you may not access the service.
Definitions
For the purposes of these Terms:
- "Service" refers to the AstraVA platform, website, and virtual assistant services.
- "User" refers to individuals who access or use the Service, including clients and virtual assistants.
- "Client" refers to businesses or individuals who use the Service to access virtual assistant services.
- "Virtual Assistant" or "VA" refers to individuals who provide services through the AstraVA platform.
- "Content" refers to information, data, text, software, graphics, messages, or other materials created, posted, or otherwise made available through the Service.
Account Registration
To use certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. We encourage you to use "strong" passwords (passwords that use a combination of upper and lower case letters, numbers, and symbols) with your account.
Service Description
AstraVA is a hybrid virtual assistant platform that combines AI automation with human expertise to provide virtual assistant services to businesses and individuals. The Service includes:
- Access to AI-powered automation tools
- Connection with human virtual assistants
- Task management and workflow tools
- Communication and collaboration features
- Analytics and reporting
Client Terms
As a Client using the Service, you agree to:
- Provide clear instructions and reasonable deadlines for tasks
- Pay all fees associated with your use of the Service
- Treat Virtual Assistants with respect and professionalism
- Not request Virtual Assistants to perform illegal, unethical, or harmful tasks
- Provide feedback on Virtual Assistant performance when requested
Virtual Assistant Terms
As a Virtual Assistant using the Service, you agree to:
- Provide services with professionalism, care, and skill
- Complete tasks within agreed-upon deadlines
- Maintain confidentiality of Client information
- Comply with all applicable laws and regulations
- Not engage in any activity that could harm the reputation of AstraVA or its Clients
Fees and Payment
Clients will be charged fees for using the Service according to the pricing plan selected. All fees are in USD unless otherwise specified. Fees are non-refundable except as required by law or as explicitly stated in these Terms.
Virtual Assistants will be paid according to the terms agreed upon when joining the AstraVA platform. Payments will be processed according to the payment schedule specified in the Virtual Assistant agreement.
Intellectual Property
The Service and its original content, features, and functionality are and will remain the exclusive property of WilGlobo Inc. and its licensors. The Service is protected by copyright, trademark, and other laws of both Canada and foreign countries.
Clients retain ownership of any intellectual property rights in content they provide to Virtual Assistants through the Service. Virtual Assistants agree to assign all rights to work product created for Clients to the respective Client.
Confidentiality
All parties agree to maintain the confidentiality of any proprietary or sensitive information shared through the Service. This includes, but is not limited to, business information, personal data, and trade secrets.
Limitation of Liability
In no event shall WilGlobo Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of or inability to access or use the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use, or alteration of your transmissions or content.
Indemnification
You agree to defend, indemnify, and hold harmless WilGlobo Inc. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of:
- Your use and access of the Service;
- Your violation of any term of these Terms;
- Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or
- Any claim that your Content caused damage to a third party.
Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.
Governing Law
These Terms shall be governed and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will provide notice of any changes by posting the new Terms on this page and updating the "Last Updated" date.
By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised Terms. If you do not agree to the new Terms, please stop using the Service.
